Company Incorporation & Restructuring in Kenya
Establishing, restructuring and re-organising Kenyan entities for foreign investors and expanding groups.
Overview
Foreign investors and expanding regional groups rarely have a purely corporate question or a purely immigration question — they have both at once. The entity you register determines which permit classes your people can hold, how directors and shareholders are documented, and what compliance obligations follow. We advise on choosing and establishing the right Kenyan structure, and on restructuring an existing one, with the immigration consequences considered from day one rather than discovered afterwards.
Who It's For
- Foreign investors establishing a first Kenyan presence.
- Regional groups adding a Kenyan entity to an existing East African footprint.
- Companies restructuring ownership, share capital or directorships where foreign nationals are involved.
- Businesses converting a representative office or branch into a fuller operating entity.
Our Process
Structure Advisory
We assess your commercial objectives and recommend an entity type, ownership structure and directorship arrangement that supports both your business plan and the permits your team will need.
Documentation & Filing Coordination
We prepare the constitutional documents and coordinate filings with the Registrar of Companies and other regulators. Registration itself is granted by the relevant authority, not by us.
Post-Incorporation Compliance
We map the statutory registrations, filings and record-keeping that follow, and flag where director or shareholder immigration status is affected.
Ongoing Restructuring Support
As ownership, capital or leadership changes, we advise on the corporate steps and the knock-on immigration implications together.
Required Documents
- Proposed company name options
- Identification and passport copies for directors and shareholders
- Proof of registered office address in Kenya
- Parent-company constitutional documents, where a foreign entity is a shareholder
- Any additional documents identified during your structure review
Frequently Asked Questions
Do you register the company yourselves?
We prepare and coordinate the filings, but incorporation is granted by the Registrar of Companies. We are your advisers and filing agents in that process — we do not issue the registration.
Why involve an immigration firm in incorporation at all?
Because the two decisions are linked. Shareholding, directorship and entity type all affect which permit classes your foreign staff and directors can apply for. Structuring the entity without that in view is the most common reason a permit application later has to be reworked.
Can you restructure a company we already registered?
Yes. We advise on changes to shareholding, share capital, directorships and entity type, including where those changes are being made specifically to support a foreign national's immigration position.
